Terms and conditions

The terms and conditions of use of our software are available here. Read carefully before using our service.

1. Contracting Parties and Subject Matter

Subject of the Contract

This contract regulates the provision, in SaaS mode, of the software "Fixh IT", accessible via the web at www.fixh.it. Access to and use of the Software imply full and unconditional acceptance of these General Terms and Conditions of Sale.

2. Cloud Infrastructure and Security

Server Location

The Software is hosted on OVHcloud servers located in:
→ Gravelines (France)
→ Strasbourg (France)
→ Frankfurt (Germany)

Security Measures

The Provider adopts adequate security measures to protect User data, in accordance with current regulations on the protection of personal data.
→ Data Encryption in Transit: TLS 1.3
→ Data Encryption at Rest: AES-256, with key management via OVH KMS
→ Backup: Daily backups, kept for a maximum period of 7 days

3. Account Registration

Registration Mode

Private Users: Name, Surname and a valid email address are required.
Companies: Company name, VAT number and registered office address are required.

Access Credentials

Credentials (username and password) are strictly personal, non-transferable and must be kept confidential by the user. Any changes to the communicated data must be promptly updated through the appropriate reserved area.

4. Grant of License

Scope of the license

A non-exclusive, revocable license is granted to the user for the use of the Software in the cloud, limited to the duration of the subscription.

Prohibitions and Limitations

The user is prohibited from:
→ Modifying, decompiling or disassembling the Software
→ Using the Software for illegal or unauthorized purposes
→ Assigning, transferring or sublicensing to third parties the rights to use the Software

5. Trial Period

Trial Period

The Provider offers a 30-day free trial period, at the end of which the user must choose a subscription plan to continue using the Software. The trial includes:
→ Full access to all Software features
→ Technical support via email and chat
→ Free online training

Communications and expiration

The user will receive a reminder, 30/15/10/5 days before the expiration of the trial period, to confirm the intention to continue or cancel the service. In the absence of contrary communications, the service will automatically be converted to "Demo mode" for a further 60 days, after which ALL data relating to the company will be deleted.

6. Pricing, Billing and Payment

Rates and Plans

The rates are transparently published on the website at www.fixh.it/prices and may be subject to changes, except for orders already confirmed.

Payment Methods

The Provider offers different subscription plans, with variable prices and features. Prices are in Euros and are subject to VAT. Payment can be made by
→ Credit card
→ PayPal
→ Bank transfer
→ SEPA direct debit
→ Stripe

Invoicing

Electronic invoices will be sent via PEC/SDI or to the registered email address, in accordance with current regulatory provisions.

7. Warranties, SLA and Refund

Service Level (SLA)

The Provider guarantees a monthly uptime of 99.9%, except for:
→ Scheduled maintenance (notified at least 72 hours in advance);
→ Force majeure events;
→ Interruptions due to malfunctions of the internet network or third-party service providers.
In case of non-compliance with the SLA, the user will be entitled to a refund of 10% of the monthly fee for every hour of downtime, up to a maximum of 50% of the monthly fee.

Refund Conditions

Refunds will be made within 30 days of the request, subject to verification by the Provider. No refunds are provided for downtime periods of less than 1 hour. The Provider will not be responsible for any direct or indirect damages resulting from service interruptions. If the monthly downtime exceeds 5%, the user will be entitled to a refund proportional to the extent of the disruption.

8. Intellectual Property

Provider Rights

The Provider holds all intellectual property rights on the Software and related materials. The user does not acquire any ownership rights on the Software, but only a right of use limited to the conditions established in this contract. All rights relating to the source code, trademarks and know-how of the Software remain the exclusive property of the Provider.

User Rights

The user retains ownership and responsibility for the data entered in the Software. The user has the right to use the Software according to the methods provided for in this contract. The user has the right to request technical assistance and training, according to the methods established by the Provider. The user has the right to request the deletion of their data, by notifying the Provider.

9. Right of Withdrawal

Consumer Users

Users as consumers can exercise the right of withdrawal within 14 days of signing up, by sending a written communication to support@fixh.it.
The right of withdrawal does not apply if the customer has used the entire trial period. In this case, the customer cannot request a refund of the fee paid.

Specific Exclusions

Withdrawal is not exercisable for:
→ Customized services at the explicit request of the user
→ Abuses of the trial period (e.g. multiple registrations)
→ Violations of the terms of use ascertained

10. Liability and Limitations

Privacy policy

The Provider will not be held responsible for:
→ Damages resulting from improper use of the Software;
→ Data loss not attributable to direct negligence;
→ Indirect damages, such as lost profits or consequential economic losses.
→ Service interruptions due to force majeure causes or unpredictable events.

Refund Limits

In case of Provider liability, the refund will be limited to the amount paid by the user for the service in question, and may not exceed the total amount paid for the current month.

11. Privacy and Data Processing

GDPR Compliance

The Provider undertakes to comply with current regulations on the protection of personal data, in particular Regulation (EU) 2016/679 (GDPR).
→ Data Processing: The Provider processes users personal data exclusively for the purposes related to the provision of the service.
→ User Rights: Users have the right to access, rectify or delete their personal data, as well as to object to the processing of the same.

Data Location

Users data is stored on servers located in Europe, in accordance with European regulations on the protection of personal data. The Provider will not transfer data outside the European Union without the explicit consent of the user. 12. Applicable Law

Reference Legislation

This contract is governed by Italian law. For any dispute arising from the interpretation or execution of this contract, the Court of Rome will be competent.
→ For Consumer users: the competent court is the one in the place of residence.
→ For Business users: the competent court is Rome, unless otherwise provided by applicable law.

Mediation

In case of disputes, the parties undertake to attempt an amicable resolution before taking legal action. If unsuccessful, it will be possible to resort to mediation with an accredited body, in accordance with art. 5 of Legislative Decree 28/2010.

13. Final Provisions

Start Date

This contract comes into force on the date of acceptance by the user and will remain valid until the termination of the service or cancellation by the user. Date of this document, June 30, 2025.

Updates

The Provider reserves the right to modify these General Terms and Conditions of Sale, with timely communication to users. The changes will take effect no earlier than 30 days after the communication. Users who do not accept the changes may withdraw from the contract without penalties.
