Contract Object
This contract governs the provision, in SaaS mode, of the "Fixh IT" software, accessible via the web at www.fixh.it. Accessing and using the Software implies full and unconditional acceptance of these General Terms of Sale.
Server Location
The Software is hosted on OVHcloud servers located in:
→ Gravelines (France)
→ Strasbourg (France)
→ Frankfurt (Germany)
Security Measures
The Supplier adopts adequate security measures to protect Users' data, in compliance with current regulations on personal data protection.
→ Data in Transit Encryption: TLS 1.3
→ Data at Rest Encryption: AES-256, with key management via OVH KMS
→ Backups: Daily backups performed and retained for a maximum of 7 days
Registration Mode
→ Private Users: First name, last name, and a valid email address are required.
→ Companies: Legal name, VAT number, and registered address are required.
Access Credentials
Credentials (username and password) are strictly personal, non-transferable, and must be kept confidential by the user. Any changes to the provided information must be promptly updated through the dedicated private area.
Scope of License
A non-exclusive, revocable, and limited license is granted to the user for the use of the Software in the cloud, valid only for the duration of the subscription.
Prohibitions and Limitations
The user is prohibited from:
→ Modifying, decompiling, or disassembling the Software
→ Using the Software for illegal or unauthorized purposes
→ Transferring, assigning, or sublicensing the usage rights of the Software to third parties
Trial Period
The Supplier offers a 30-day free trial period, after which the user must choose a subscription plan to continue using the Software. The trial includes:
→ Full access to all Software features
→ Technical support via email and chat
→ Free online training
Notifications and Expiration
The user will receive a reminder 30/15/10/5 days before the end of the trial period to confirm their intention to continue or cancel the service. In the absence of contrary communication, the service will automatically be converted into "Demo Mode" for an additional 60 days, after which ALL company-related data will be permanently deleted.
Pricing and Plans
Pricing plans are published transparently on the website at www.fixh.it/prices and may be subject to changes, except for already confirmed orders.
Payment Methods
The Supplier offers various subscription plans with different prices and features. Prices are expressed in Euros and are subject to VAT. Payment can be made via
→ Credit card
→ PayPal
→ Bank transfer
→ SEPA direct debit
→ Stripe
Billing
Electronic invoices will be sent via PEC/SDI or to the registered email address, in accordance with current regulations.
Service Level (SLA)
The Supplier guarantees a monthly uptime of 99.9%, except for:
→ Planned maintenance interruptions (announced with at least 72 hours’ notice);
→ Force majeure events;
→ Interruptions due to internet network failures or third-party service providers.
In case of SLA non-compliance, the user will be entitled to a refund of 10% of the monthly fee for each hour of downtime, up to a maximum of 50% of the monthly fee.
Refund Conditions
Refunds will be processed within 30 days of the request, subject to verification by the Supplier. No refunds will be issued for downtime periods shorter than 1 hour. The Supplier shall not be liable for any direct or indirect damages arising from service interruptions. If monthly downtime exceeds 5%, the user will be entitled to a refund proportional to the extent of the service disruption.
Supplier’s Rights
The Supplier holds all intellectual property rights to the Software and related materials. The user does not acquire any ownership rights to the Software, but only a limited right to use it under the terms of this agreement. All rights related to source code, trademarks, and know-how of the Software remain exclusively owned by the Supplier.
User’s Rights
The user retains ownership and responsibility for the data they input into the Software. The user has the right to use the Software as specified in this agreement. The user has the right to request technical support and training, according to the methods established by the Supplier. The user has the right to request deletion of their data, upon prior notice to the Supplier.
Consumer Users
Users acting as consumers may exercise their right of withdrawal within 14 days of subscription, by sending a written notice to support@fixh.it.
The right of withdrawal does not apply if the customer has fully used the trial period. In such case, the customer will not be entitled to a refund of any paid fees.
Specific Exclusions
Withdrawal is not permitted for:
→ Services customized upon the user’s explicit request
→ Abuse of the trial period (e.g., multiple registrations)
→ Verified violations of the terms of use
Privacy policy
The Supplier shall not be held liable for:
→ Damages arising from improper use of the Software;
→ Data loss not attributable to direct negligence;
→ Indirect damages, such as lost profits or consequential economic losses;
→ Service interruptions due to force majeure or unforeseeable events.
Refund Limits
In case of the Supplier’s liability, the refund will be limited to the amount paid by the user for the disputed service, and will not exceed the total amount paid for the current month.
GDPR Compliance
The Supplier commits to comply with current regulations on personal data protection, in particular Regulation (EU) 2016/679 (GDPR).
→ Data Processing: The Supplier processes users’ personal data exclusively for purposes related to the provision of the service.
→ User Rights: Users have the right to access, correct, or delete their personal data, as well as to object to its processing.
Data Location
User data is stored on servers located in Europe, in compliance with European data protection regulations. The Supplier will not transfer data outside the European Union without the user’s explicit consent. The complete data processing policy is available on the website at www.fixh.it/privacy.
Applicable Law
This contract is governed by Italian law. For any dispute arising from the interpretation or execution of this contract, the competent court shall be that of Rome.
→ For Consumer Users: the competent court shall be that of the user’s place of residence.
→ For Business Users: the competent court shall be that of Rome, unless otherwise required by applicable law.
Mediation
In the event of a dispute, the parties agree to attempt an amicable resolution before resorting to legal action. If unsuccessful, mediation through an accredited body may be pursued, in accordance with Article 5 of Legislative Decree 28/2010.
Effective Date
This contract becomes effective upon user acceptance and remains valid until termination of the service or cancellation by the user. Date of this document, June 30, 2025.
Updates
The Supplier reserves the right to modify these General Terms of Sale, provided that users are notified in a timely manner. Changes will take effect no earlier than 30 days after notification. Users who do not accept the changes may withdraw from the contract without penalties.
